Summary
You/Your Business has hired Visuals by Glenn Patrick [VBGP] (#3 Carmelita Street, San Ignacio, Cayo) to develop You/Your Business website and therefore entered this contract agreement once the project has started.
Identifying What Each Party Agreed to Do
TERMS OF AGREEMENT
This Terms of Agreement (“Agreement”) is entered into between Visuals by Glenn Patrick (“VBGP”) and the Client (“Client Name”). By engaging VBGP for services, the Client agrees to the following terms and conditions:
1. Payment & Cancellation
1.1. Initial payment due after the contract is signed and service agreement starts. Payments are then due at the end of every month.
1.2 If the Client chooses to cancel before the agreed-upon term ends for a valid reason, they are still responsible for paying the remaining balance for services rendered up to that point. This includes, but is not limited to, compensation for website development, videography, and photography services and amount to be determined by VBGP.
1.3. No refunds will be issued for work already completed.
1.4. Late payments may be subject to a penalty fee or service suspension until payment is received.
2. Graphics, Video & Photography License Terms
2.1. The Client is granted an limited, exclusive license to utilize all design files created during the agreed-upon term, with the licensing rights commencing upon completion of the agreement term.
2.2. The Client receives a limited, exclusive license to use the final delivered media for promotional purposes.
2.4. VBGP reserves the right to use final products in its portfolio and for promotional purposes.
3. Transportation Fees
3.1. Transportation fees are not included in the service price and will be billed separately where applicable unless transportation if provided by the client.
4. Service Plan Modifications
4.1. VBGP reserves the right to modify its general service plans at any time.
4.2. Any changes will only affect new contracts or renewals, not active agreements.
4.3 Customized services plan agreements are only subject to modification after the initial term is completed and a new term agreement is agreed on by both parities.
5. Website Development & Hosting
5.1. Premium page builder subscriptions included in the Client’s plan will expire once the plan ends unless paid for by client separately.
5.2. Premium plugins are not included unless explicitly stated.
5.3. Websites developed by VBGP must be hosted by VBGP until the initial contract term ends unless a different arrangement is agreed upon by both parties. This is to ensures the most effective method for developing, maintaining and troubleshooting with our CMS (Content Managing System).
5.4 Website will be transferred over to client, if they so choose, once the term is up at no additional cost.
5.4. Once the subscription ends, if not renewed, hosting and domain renewals must be paid separately by the Client.
6. Turnaround Time
6.1. Minimum turnaround time for design projects is 24 hours, depending on the complexity of the request.
6.2. Minimum turnaround time for website projects is 1 week for One-page and up to 8 weeks or more for advanced projects, depending on the complexity of the request.
6.3. Expedited services depends on the complexity of the request an work load.
7. Website Maintenance & Support
7.1. Ongoing website maintenance, updates, and troubleshooting are included in all plans with limitations in the 1st and 2nd Tiers.
7.2. Any additional maintenance requests beyond the agreed-upon scope may incur additional fees.
8. Third-Party Services & Integrations
8.1. VBGP is not responsible for the performance, reliability, or pricing changes of third-party software, plugins, or hosting providers.
9. SEO & Performance Disclaimer
9.1. While VBGP implements best practices for SEO optimization, rankings and website performance takes time and cannot be guaranteed due to external factors.
10. Social Media & Digital Marketing
10.1. If social media management is included, VBGP will create and manage content within the agreed scope.
10.2. Creating Ad Manager accounts is limited to the clients availability of the necessary requirements by Meta.
10.3. While we will assist in creating and posting ads, ad spend for paid promotions is the responsibility of the Client.
11. Backup & Data Protection
11.1. VBGP assumes responsible for data backup or troubleshooting unless a separate agreement is agreed upon.
11.2. Clients are advised to maintain their own copies of important files and backups where applicable.
12. Client Communication & Support Hours
12.1. VBGP’s support hours are Monday–Friday, 9 AM–8 PM (local time) with limited availability on weekends.
12.2. After-hours support is available in emergency cases and depends on availability.
13. Scope Creep Policy
13.1. Any work requested beyond the original project scope may require additional fees and a revised timeline.
13.2. VBGP reserves the right to decline additional work if it significantly alters the agreed scope.
14. AI & Stock Media Usage
14.1. VBGP may use AI-generated assets or stock media as part of its design process.
14.2. Exclusive rights to stock media or AI-generated content can be purchased upon request.
15. Limitations
15.1 VBGP’s services are limited to our areas of expertise, particularly in website development and videography.
15.2 VBGP is committed to researching and exploring services beyond our current expertise. While we strive to deliver the best possible results, we cannot guarantee a 100% success rate.
16. Governing Law & Dispute Resolution
16.1. This Agreement shall be governed by the laws of Belize.
16.2. Any disputes arising from this Agreement shall first be attempted to be resolved through mediation. If mediation fails, disputes will be settled in a court of competent jurisdiction in Belize.

By engaging in services with VBGP, the Client acknowledges that they have read, understood, and agreed to these terms.
